These Terms & Conditions (“Terms”) govern access to and use of the CImple subscriber portal (the “Service”) provided by CImple (together, “CImple”, “we”, “us”, “our”) as a software-as-a-service (SaaS) offering described on gocimple.com. By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the subscribing organisation that authorised your account.

1. SaaS service

CImple is a hosted SaaS portal operated by CImple. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service during an active subscription, solely for your organisation’s internal professional purposes and in accordance with these Terms and your subscription entitlements.

Technology development and engineering of the Service are provided by Niya Tech Labs (ABN 26 698 379 145) as CImple’s technology developer / implementation partner. This is a compliance and operational disclosure (including where technical security certifications such as ISO/IEC 27001 are held by that partner); it does not change who provides the commercial Service to you under these Terms.

You do not acquire ownership of the Service, underlying software, models, clinical datasets curated for the portal, or intellectual property of CImple. Feedback you provide may be used to improve the Service without obligation to you.

2. Accounts and authorised users

Access requires an authorised account. You must provide accurate registration information, keep credentials confidential, and promptly notify us of unauthorised use.

Your organisation is responsible for which individuals receive access, for their compliance with these Terms, and for promptly requesting deactivation when access should end.

3. Subscription model, therapeutic areas, and fees

Subscriptions are defined by commercial arrangements with CImple (for example order forms, quotes, or invoices). A subscription typically includes:

  • One or more therapeutic areas entitled on the account.
  • A subscription tier (such as Free or Pro) that may affect feature limits (for example daily Ask CImple question caps or alert visibility windows).
  • Optional role assignments (User, Team, Admin) administered by CImple for your organisation.

3.1 Fees and payment linkage

Fees, billing frequency, taxes, renewal, and payment methods are set out in your commercial agreement or invoice with CImple (see gocimple.com). The portal does not collect or store credit card or other payment-card details.

Changes to therapeutic areas, tier, seat count, or other commercial terms are arranged with CImple (for example via Issues and Support — Update my subscription — or solutions@gocimple.com), not as self-serve checkout inside the portal.

Failure to pay fees when due may result in suspension or termination of access.

4. Acceptable use

You agree not to:

  • Misuse the Service, attempt to bypass entitlements, or access data outside your authorised therapeutic areas or role.
  • Reverse engineer, scrape at abusive scale, or interfere with Service integrity or other customers.
  • Upload or submit unlawful, infringing, or confidential third-party content without rights to do so.
  • Submit patient-identifying medical records or other direct identifiers of individuals into Ask CImple or support channels.
  • Use outputs as the sole basis for clinical decisions without appropriate professional judgement and verification.

5. Clinical content and Ask CImple AI outputs

CImple Ask CImple endeavours to provide answers from highly trained artificial intelligence models using trained and curated data only (including clinical evidence retrieved for your therapeutic area). While every effort is made to prevent hallucinations and to avoid incorrect answers — including software controls and AI guardrails — those measures cannot eliminate all risk of incomplete, outdated, misleading, or incorrect output.

Content may therefore still be incomplete, delayed, or wrong. Ask CImple is not a substitute for clinical judgement, medical advice, or review of primary literature. You remain responsible for verifying material information before relying on it.

CImple may update datasets, prompts, retrieval methods, models, guardrails, and editorial content to keep the portal current and to improve quality, with or without prior notice.

6. Updates and improvements

CImple keeps the Service under active development. We may add, modify, or remove features, content, interfaces, or underlying systems with or without prior notice, provided we do not materially reduce core subscribed functionality without a reasonable alternative or commercial discussion where required by your agreement.

We may process usage and query data as described in the Privacy Policy to analyse performance and improve the Service.

7. Availability and maintenance

We aim to provide a reliable Service but do not guarantee uninterrupted or error-free operation. Planned or emergency maintenance, infrastructure events, or third-party outages may cause downtime or degraded performance.

Where practicable, we may display an in-product maintenance notice. We may perform maintenance with limited or no advance notice when needed for security or stability.

Unless a separate written service-level commitment applies to your subscription, the Service is provided on an “as available” basis.

8. Privacy

Personal data is handled as described in our Privacy Policy (also available via the Service and gocimple.com). By using the Service you acknowledge that usage and query activity may be reviewed by authorised CImple administrators for analytics and system improvement, and that related records are retained for at least the period stated in the Privacy Policy.

9. Intellectual property

All rights in the Service, branding, documentation, curated content compilations, and software remain with CImple or its licensors. You retain rights in the prompts and materials you submit, and grant CImple a licence to host and process them to operate and improve the Service.

10. Confidentiality

You must treat non-public Service features, credentials, and any non-public CImple materials as confidential. We will treat your non-public account and organisational information as confidential except as needed to provide the Service, as permitted by the Privacy Policy, or as required by law.

11. Disclaimers

To the maximum extent permitted by law, the Service and all content are provided “as is” and “as available” without warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement. CImple does not warrant that AI-generated or curated outputs (including Ask CImple answers) will be free from hallucinations, errors, or omissions, or that the Service will be uninterrupted or error-free.

12. Limitation of liability

To the maximum extent permitted by law, CImple and its suppliers will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or business opportunity, arising from the Service or these Terms — including reliance on Ask CImple or other AI-assisted outputs.

Our aggregate liability arising out of or relating to the Service or these Terms is limited to the fees paid by the subscribing organisation to CImple for the Service in the twelve (12) months before the claim (or, if none, one hundred Australian dollars), except where liability cannot be limited by law.

13. Suspension and termination

We may suspend or terminate access for breach of these Terms, non-payment, security risk, legal requirement, or end of the subscription term. You may stop using the Service at any time. Provisions that by nature should survive (including intellectual property, confidentiality, disclaimers, and liability limits) will survive termination.

14. Governing law

Unless a signed agreement with your organisation states otherwise, these Terms are governed by the laws of New South Wales, Australia, and courts in that jurisdiction have non-exclusive jurisdiction, without prejudice to mandatory consumer or data-protection rights that cannot be waived.

15. Changes to these Terms

We may update these Terms from time to time (posted in the Service and/or on gocimple.com). The effective date will be revised accordingly. Continued use of the Service after changes take effect constitutes acceptance where permitted by law. If you do not agree, you must stop using the Service and contact CImple regarding your subscription.
